SigBee, Inc. and its affiliates, (“SigBee”) is committed to protecting and respecting your privacy in connection with your use of SigBee’s website, (the “Website”), the SigBee Check-In App (“App”) and other products, services and features thereof (the Website, the App and such other products, services and features are collectively referred to herein as the “Product” or “Products”, which may be updated from time-to-time at the sole discretion of SigBee). This privacy policy (“Privacy Policy”) and any other documents referred to herein set forth the basis on which any personal data SigBee collects from you, or that you provide to SigBee, in connection with the Products will be processed by SigBee, the means by which we maintain the data you provide and the choices you have about the information. Please read the following carefully to understand SigBee’s practices regarding your personal data and how SigBee will collect, use and disclose your personal data.

a. Information You Provide to Us Directly:

    1. User Profile – When you sign up for your SigBee account, we collect basic information about you. This includes information such as name, email address, and password. You may also set up your profile on the Service and submit certain information to be displayed on your profile. This may include a photo of you, a short bio, links to your presence on other social media sites, and other information that you think other users might want to know about you. The information that you submit for display in your profile, including any personal information, will be viewable by other users of the Service.
    2. Uploaded Content – As a registered user you may upload data to the Service or post various queries, comments, analyses and other content on the data or work made available on the Service by other users. This content that you provide to the Service (“Your Content”) will be viewable by other users of the Service in accordance with the privacy settings that you specify when uploading, posting or otherwise creating Your Content on the Service in either SigBee’s public or private function, as described in our Terms of Service.
    3. Payment Information – We may collect all the information necessary to complete the transaction, including your name, credit card information, billing information and shipping information.
    4. Surveys or Promotions – From time-to-time, we invite our customers and users to participate in surveys, promotions or contests. When a customer or a user participates, we request certain personal information such as name and email address.
    5. Correspondence - If you correspond with us via email, we may gather in a file specific to you the information that you submit. This includes information provided for support purposes.

    b. Information Collected Automatically:

    1. We also may receive and store certain information about you and your device(s) automatically when you access or use our Site and Service. This information may include:
    1. Technical Information – We collect technical information associated with your activity on our Site and may include information related to your browser and operating system, IP address (the Internet address of your computer) unique device identifiers, and other information such as your device type.
    2. Site Usage Information – We collect information to better understand customer traffic patterns and Site usage. This may include the webpage that you were visiting before accessing our Site or mobile application, the pages or features of our Site or mobile application you browsed to inform us which part of our Site, app and Service you visit and how much time you spend there.
    3. Site Preferences and Cookies – We collect information about your preferences to make your use of the Site more productive through the use of cookies. Cookies are intended to make using the Service and this Site easier by, among other things, saving your preferences for you.     c. Information Collected From Third-Party Services:

    1. We implement certain third-party offerings in the Service, enabling such third parties to collect information about you or your online activities across different websites and over time through your use of the Service. This includes enrichment information in support of direct marketing campaigns. Information collected may include, but is not limited to, personal information such as demographic data, social media profiles, and contact information.

    a. SigBee may use information held about you in the following ways:

    1. To provide you with the Products.
    2. To answer your questions or requests for information or handle your complaints.
    3. To ensure that content provided by the Products is presented in the most effective manner for you and for your computer or other device.
    4. To provide you with promotional communications, such as email, to the extent that you have provided consent and/or consistent with notice and any opt-out rights to receive such communications under applicable law.
    5. To carry out our obligations arising from any agreements entered into between you and SigBee.
    6. To allow you to participate in interactive features of the Products, when you choose to do so.
    7. To notify you about updates or changes to Product features and content.
    8. To understand your broad, non-specific geographic location to help us identify groups of users by general geographic market (such as zip code, state or country).
    3. Sharing of Your Personal Information

    We may disclose personal or other information collected about you through the Service or this Site in any of the following situations:

    1. Authorized Users of the Service: In furtherance of providing the Service, SigBee may disclose certain information collected about you through the Service to other users of the Service authorized to receive such information.  Other users authorized to receive such information may include your direct supervisor or any top level management.
    2. Third Parties: We may disclose information that we collect about you to our affiliates, and to third-party contractors who perform services for SigBee in connection with the Site and/or the Service or to complete or confirm a transaction that you conduct with us. We contractually require these affiliates and third parties to keep personal information confidential and use it only for the purposes for which we disclose it to them. As noted, information about you collected by third-party services integrated with the Site or the Service will be disclosed to such third parties.
    3. In Aggregate: We may disclose the results of aggregated data about you and other users without restriction. In these situations, we do not disclose to these entities any information that could be used to personally identify you.
    4. Corporate Transaction: We may disclose information about you as part of a merger, acquisition or other sale or transfer of all or substantially all of SigBee's assets or business.
    5. When Required by Law: We may disclose information about you to the government or to third parties under certain circumstances when legally obligated to do so. We reserve the right to release information collected through the Service or this Site to law enforcement, public authorities or other government officials as deemed necessary in our sole discretion.
    6. Enforce our Terms: We may disclose any information that we believe is necessary to enforce or apply our Terms of Service and other agreements; or to protect the rights, property, or safety of SigBee, our employees, our users, or others.
    7. With Your Consent: We may disclose information for any other purpose with your consent.

    To help protect the privacy of data we collect through the Service, we employ measures intended to be consistent with industry best practices for security and encryption in data transmission and storage. However, you should keep in mind that the Site and the Service are run on software, hardware and networks, any component of which may, from time to time, require maintenance or experience problems or breaches of security beyond our control. We process payments securely using an industry-accepted Payment Gateway, and do not store any billing information on our own servers. Please also be aware that despite our best efforts to ensure the security of your data, we cannot guarantee that your information will be 100% secure.

    Please recognize that protecting your personal information is also your responsibility. We urge you to take every precaution to protect your information when you are on the Internet, such as using a strong password which is a combination of letters and numbers. If you have reason to believe that the security of your account might have been compromised (for example, your password has been leaked), or if you suspect someone else is using your account, please let us know immediately.

    5. Data Retention

    SigBee will retain your personal information only for as long as reasonably necessary for the purposes described in this Privacy Policy. Please be aware that we may also be required to retain your personal information for legal and accounting reasons. In addition, for our records, we may retain original and updated information for reasons such as technical constraints, dispute resolution, fraud prevention, troubleshooting and agreement enforcement, or in other cases where we reasonably believe that we have a legitimate reason to do so.

    6. Your Rights

    We believe that privacy is a right for every user, and we therefore provide you with a set of rights that you can exercise.

    1. Right to Know – You have the right to know the personal information we collect, use, disclose, and sell about you. This includes the right to know the categories of personal information that we have collected; the categories of sources; the business or commercial purposes for which we process your data; and the categories of recipients with whom we have shared your personal information.
    2. Right to Access - You have the right to receive your personal information in a structured, commonly used and machine-readable format and the right to transmit your personal information to another service provider without hindrance from SigBee.
    3. Right to Delete – You have the right to request that we delete any personal information we have collected from you or maintain about you. We may save personal information when permitted by applicable law including, without limitation, when the information is needed for a legal purpose or as required under our Terms of Service.
    4. Right to Update – If you are a registered user you may modify certain of your personal information. This includes the addition or removal of certain personal information (except your name, email address, username and password, which we require of all users to maintain their accounts), as well as your preferences for the types of communications you receive from us.
    5. Right to Opt-Out of the Sale – You have the right to opt-out of having your personal information sold. SigBee does not sell or rent any of your personal information to third parties including that of minors under the age of sixteen (16).
    6. Right to Non-Discrimination – SigBee will not discriminate against those who exercise their rights. Specifically, if you exercise your rights, we will not deny you Service, charge you different prices for it or provide you a different level or quality of Service.
    7. Right to Object - At any time, you may object to the processing of your personal information, on legitimate grounds, except if otherwise permitted by applicable law.

We reserve the right to confirm your identity in order to process your requests. Please note that these rights are not absolute, and in certain cases we may decline your request as permitted by law.

    7. Third Party Sites

    This Privacy Policy only addresses the use and disclosure of information collected from you by SigBee through this Site or the Service. You should be aware that when you are using the Site or the Service, you may be directed to other websites that are beyond our control or be interfacing with third-party integrated services. We would expect most, if not all, of these third parties will collect information about you when you use their offerings. However, SigBee is not responsible for the privacy practices of third parties, regardless whether they are linked or otherwise connected to this Site or the Service. We encourage you to read the posted privacy policy whenever interacting with any third-party website or other offering.

    8. Children

    The Service and this Site are not directed to children under 13. If you learn that your minor child has provided us with personal information without your consent, please contact us.

    10. Non-US Residents

    International Transfers

    1. We are a global business based in the United States, and we may transfer data globally to be processed by us or our service providers in order to provide the Service to you or for such other purposes as set forth in this policy. If you are not a resident of the U.S., you hereby consent and agree that we may collect, process, use, and store your information, as discussed in this policy, outside your resident jurisdiction, including in the U.S. Please be aware that U.S. law and the laws of other countries where we may store and process your information may offer different levels of protection for information than may be available in your country.
    2. EU-US Privacy Shield

      SigBee is a participant in the U.S. Department of Commerce's EU-U.S. Privacy Shield and has certified that we adhere to the EU-U.S. Privacy Shield Principles. SigBee is subject to the investigatory and enforcement powers of the Federal Trade Commission. SigBee is accountable for personal data that it receives and subsequently transfers to third parties.     3. GDPR and DPA

      SigBee is committed to compliance with the European Union’s General Data Protection Regulation (“GDPR”) as applicable. Currently, we do not enter into contracts with citizens of the European Union.  SigBee is strictly for use by organizations located in the United States.
    11. Governing Law

    By choosing to use the Site or the Service or otherwise provide information to SigBee, you agree that any dispute over privacy or the terms contained in this Privacy Policy will be governed by the law of the State of Tennessee. You also agree to abide by any limitation on damages contained in our Terms of Service or another agreement that we have with you. This does not prevent consumers in the European Union from bringing a claim to enforce their consumer rights in relation to this Policy in their local courts.

    12. Changes

    SigBee reserves the right to update or modify this Privacy Policy from time to time, with any such changes to be effective prospectively. Please visit this page periodically so that you will be apprised of any such changes. Your continued use of the Service or the Site after any modification to this Privacy Policy will constitute your acceptance of such modification.

    These Terms of Service (the "Terms") govern your use of the SigBee journaling and data analysis platform and associated tools (collectively, the "Service") made available by SigBee, Inc. ("SigBee"), via web and mobile applications.  Your use of the Service indicates that you agree on behalf of yourself or the entity that you represent (collectively, "you") to be bound by these Terms. YOU AGREE THAT THESE TERMS ARE ENFORCEABLE LIKE ANY WRITTEN CONTRACT SIGNED BY YOU.

    We reserve the right to modify these Terms prospectively at any time. We will post any changes to these Terms on our website. If a revision meaningfully reduces your rights, we will use reasonable efforts to notify you and where required by law, notify you. Your continued use of the Service after any such change constitutes your acceptance of the updated Terms.

    1. Overview of the Service

    The Service enables you to communicate with service providers via a mobile application.

    All data, recordings, video sessions, uploaded documents, comments, analyses or other content is collectively referred to in these Terms as "Content." All Content uploaded or posted to, or otherwise made available on, the Service through your account is collectively referred to in these Terms as "Your Content."

    Provided, however, for avoidance of doubt, Your Content does not mean or include any data that is generated automatically by the Services concerning your use of the Services (the “Meta-data”). Such Meta-data may include, but is not limited to, information concerning the frequency of words you use and measures of the sentiment expressed in your journals.

    SigBee will not be responsible if you incorrectly designate Your Content for SigBee’s public use.

    2. Eligibility

      In order to use the Service, a healthcare or community services provider (“Your Provider”) must register and set up a user account for you. You must have a consent agreement in place with Your Provider for the exchange of protected health information to use SigBee.  The user registration process requires that you agree to these Terms.

      3. Registration

      When you register with SigBee, you will be asked to disclose certain personal information, including your name and email address, and to set up a user name and password, all of which will be subject to our Privacy Policy. You are responsible for all activities that occur under your account and for keeping your password and log-in information secure. You agree that you (1) will monitor your account, (2) will not share your account or password with anyone, and (3) will notify SigBee immediately of any unauthorized use of your account or password, or any other breach of security.

      You agree to provide us with true, accurate and complete information as requested in our registration process. You also agree to update such information promptly as necessary to keep it current and accurate.

      4. Financial Terms

      Your Provider is responsible for paying for your account.  Failure on the part of Your Provider to pay for the service will result in your account being suspended.  You are responsible for any third-party fees, including but not limited to data charges from your mobile phone provider, that you may incur when using the Service.

      5. User Conduct

      You agree not to upload to or otherwise make available through the Service any of the following:

      1. any Content subject to copyright that is not your original work, unless you have permission from the rightful owner to post such Content and to grant SigBee all of the licensed rights granted herein;
      2. any confidential or private information of any third party;
      3. any Content that is harmful, threatening, unlawful, defamatory, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, hateful, or otherwise objectionable;
      4. any Content that infringes or misappropriates third-party intellectual property rights, or is invasive of privacy or publicity rights.
      5. In using the Service, you also agree not to do any of the following:
      6. represent or imply that you are a representative of SigBee or that any of Your Content is endorsed by SigBee;
      7. impersonate any other person or entity in your account, or falsely state or otherwise misrepresent yourself or your affiliation with any other person or entity in your account;
      8. use or attempt to use another user's account;
      9. intimidate or harass another user of the Service;
      10. conduct any activities that could damage, disable, overburden or impair the Service, including by writing any malicious code or attempting to alter any of the raw data available through the Service;
      11. modify another online offering or service so as to suggest that it is affiliated with the Service; or
      12. use the Service in a way that is not in compliance with any applicable law, rule or regulation.
      6. No Endorsement or Warranty

      While we believe in accurate and truthful analysis, we cannot evaluate all Content on the Service. Accordingly, you acknowledge that SigBee does not endorse, support, represent or guarantee the truthfulness, accuracy, or reliability of any Content uploaded to or otherwise made available on the Service, whether by SigBee or by or on behalf of any user, or any opinion or result derived from any such Content. You further acknowledge that SigBee does not provide any warranty for any Content uploaded to or otherwise made available through the Service.

      8. Indemnity

      You agree to indemnify, defend and hold harmless SigBee, and its directors, officers, agents, contractors, partners and employees, from and against any loss, liability, claim, demand, damages, costs and expenses (including reasonable attorney's fees) arising out of or in connection with (i) any allegation that any of Your Content infringes or misappropriates any intellectual property or other proprietary right of a third party or violates any applicable law, (ii) your conduct in connection with the Service, and/or (iii) any violation by you of these Terms.

      9. Confidentiality

      In providing the Service to you, SigBee may disclose or make available to you Confidential Information. "Confidential Information" means SigBee information in any form or medium (whether oral, written, electronic, or other) that SigBee considers confidential or proprietary, including information consisting of or relating to SigBee's technology, trade secrets, know-how, business operations, products, services, compliance reports, security testing reports, plans, strategies, customers, and pricing, in each case whether or not marked, designated, or otherwise identified as "confidential.” You agree: (i) not to divulge to any third person any Confidential Information, (ii) to allow access to Confidential Information solely by your employees (if any) with a need to have access thereto for purposes of using the Service, and (iii) to take the same security precautions to protect against disclosure or unauthorized use of Confidential Information that you take with your own proprietary information, but in no event will you apply less than reasonable precautions to protect Confidential Information. Your obligations of non-disclosure with regard to Confidential Information will survive termination of your account with SigBee.

      10. Intellectual Property Rights in the Service

      Except as otherwise provided elsewhere in these Terms, the Service (including the layout and organization of the Service and the Content available thereon) and Meta-data is the intellectual property of SigBee or our licensors, with all rights reserved.

      Subject to the terms and conditions of these Terms, SigBee grants you a non-exclusive, revocable, limited license to access and use the Service, and to access, use, export and download the Content available thereon, all solely as enabled by the Service and subject to these Terms. Any use of the Service or any Content available thereon other than as specifically authorized in these Terms, without the prior written permission of SigBee, is strictly prohibited and will automatically terminate the foregoing license granted to you. Also, this license will terminate upon any suspension, termination or cancellation of your access to the Service.

      You agree not to do any of the following:

      1. Reverse engineer, decompile, disassemble, translate, modify, alter or otherwise change the Service, or any part thereof.
      2. Attempt to derive the source code or structure of the Service, or any part thereof.
      3. Remove from the Service, or alter, any of SigBee's or any of our licensors' trademarks, trade names, logos, patent or copyright notices, or other notices or markings.
      4. Distribute, sublicense or otherwise transfer access to the Service to others.
      11. Copyright Protection

      The U.S. Digital Millennium Copyright Act ("DMCA") provides recourse to copyright owners who believe that their rights under the United States Copyright Act have been infringed by acts of third parties over the Internet. If you believe that any Content uploaded or otherwise made available on the Service infringes upon any copyright which you own or control, you may so notify us at

      In accordance with the DMCA and other applicable law, we have adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users of the Service who are deemed to be repeat infringers. SigBee may also at its sole discretion limit access to the Service or terminate the account of any user who infringes any intellectual property rights of others, whether or not there is any repeat infringement.

      All trademarks, service marks, logos and trade names associated with SigBee and/or the Service, whether registered or unregistered, are proprietary to SigBee (or to other companies where so indicated). Such marks may not be used, including as part of others' trademarks or domain names, in connection with any product or service in any manner that is likely to cause confusion, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of SigBee.

      Without limiting the foregoing, you acknowledge that SigBee is not responsible or liable in any manner to you for any Content uploaded to or otherwise made available on the Service, whether uploaded or made available by users of the Service, by SigBee, by a third party, or by any of the equipment or software underlying the Service. SigBee shall not be responsible for any deletion, correction, destruction, damage, loss, failure to store, or theft of (or unauthorized access to) any of Your Content.

      In connection with making the Service available, we engage certain third-party vendors that provide hardware, software, networking, storage, and/or related technology necessary for the operation of the Service. Accordingly, our operation of the Service, including making Your Content available on the Service, may involve (i) transmissions of Your Content over various networks; (ii) changes to Your Content to conform and adapt it to technical requirements of connecting networks or devices, and (iii) transmission of Your Content to third-party vendors. In light of the foregoing, you acknowledge that you will be solely responsible for the security of Your Content and for protecting and backing up Your Content.

      The Service may be temporarily unavailable from time to time for maintenance or other reasons. SigBee is not responsible for any technical malfunction or any other problem with any network or service, server or other equipment, software, or any other system associated with your use of the Service. Under no circumstance will SigBee be responsible for any loss or damage to your equipment, software or other technology resulting from your use of the Service or any Content available on the Service, or for any loss or damage you incur from any interactions with another user of the Service (whether online or offline).

      SigBee reserves the right to modify the Service at any time without notice.

      15. Term and Termination

      Your use of the Service is based on an agreement between Your Provider and SigBee and can be terminated at any time, subject to the restrictions in the agreement with Your Provider.

      16. Governing Law

      Your use of the Service and these Terms shall be governed by, and construed in accordance with, the internal laws of the State of Tennessee without reference to the choice of law or conflicts of law principles thereof, and all claims relating to or arising out of your use of the Service or these Terms, or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed by the laws of the State of Tennessee without reference to the choice of law or conflicts of law principles thereof.

      Data Processing Addendum: If you are a subscriber to the Service, the terms of the data processing addendum ("DPA"), which are hereby incorporated by reference, shall apply, to the extent that SigBee processes any Customer Personal Data (as defined in the DPA) on your behalf in the provision of the Services, and the parties have not executed another addendum overriding the DPA. If applicable, for the purposes of the Standard Contractual Clauses attached to the DPA, if Customer Personal Data is to be transferred out of the European Economic Area, your agreeing to these Terms of Service shall be treated as agreement to and execution of the Standard Contractual Clauses and their Appendices.

      17. Disputes

      Any dispute, claim or controversy arising out of or relating to the Service or these Terms, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Nashville, Tennessee before a panel of three neutral arbitrators, unless the matter in controversy is within the scope of an applicable small claims court's jurisdiction. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the arbitration award may be entered in any court having jurisdiction. This clause shall not preclude SigBee or you from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Note that there is no judge or jury in an arbitration proceeding and the decision of the arbitrator shall be binding upon both parties.

      18. Miscellaneous

      These Terms constitute the entire agreement between you and SigBee regarding the use of the Service, superseding any prior agreements between you and SigBee relating to your use of the Service. The failure of SigBee to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
